On Wednesday, the Supreme Court set aside the ₹202 crore penalty imposed on Amazon by the Competition Commission of India (CCI) in connection with its investment transaction involving Future Coupons Pvt. Ltd. The relief comes as a major win for the e-commerce giant in its long-running regulatory battle over the 2019 Future Group deal, while also reviving scrutiny over how competition authorities assess disclosure obligations in complex commercial transactions.
The dispute stemmed from Amazon’s ₹1,431 crore acquisition of a 49% stake in Future Coupons in 2019, a company that held shares in Future Retail. In 2021, the CCI suspended its earlier approval of the transaction after alleging that Amazon had not fully disclosed that the Future Coupons investment and related agreements formed part of a single integrated arrangement. The regulator further accused Amazon of making inconsistent submissions before Indian authorities and an arbitration tribunal in Singapore regarding the structure and purpose of the transaction.
Based on these findings, the CCI imposed a ₹200 crore penalty for alleged failure to properly notify the combination and an additional ₹2 crore penalty for suppression of material information. Amazon challenged the action before the National Company Law Tribunal, but the challenge was rejected in 2022, following which the company approached the Supreme Court.
The Bench of Justice Vikram Nath and Justice Sandeep Mehta ultimately granted relief to Amazon by setting aside the CCI penalty and directing a refund of any amount deposited by the company within eight weeks, along with 6% annual interest. The Court further clarified that any delay beyond the prescribed period would attract enhanced interest at the rate of 9% per annum until payment is completed.
While setting aside the financial penalties imposed by the competition regulator, the Bench effectively closed the proceedings arising out of the disputed transaction-related disclosures made by Amazon in relation to the Future Coupons investment deal.
