The Bombay High Court has dealt a blow to Axis Finance Limited's efforts to be included in the Zee-Sony merger case.
The court dismissed Axis Finance's application to implead Zee Entertainment Enterprises Limited (ZEEL), the Sony Group, and their Mauritius entities as parties to the ongoing Commercial Suit. This decision marks a setback for Axis Finance Limited, which had been seeking to recover Rs 146 crore from Dr. Subhash Chandra Goenka and other borrower entities.
Axis Finance Limited initially filed a Commercial Summary Suit No. 14 of 2021 against Dr. Subhash Chandra Goenka and Punit Goenka, among others, seeking interim relief. However, the Honourable Bombay High Court rejected the application, stating that the defendants were not parties to the loan agreement or the associated securities. Despite these setbacks, Axis Finance Limited persisted and filed Commercial Suit No.252 of 2022, seeking urgent relief, but this too was denied by the court.
Furthermore, Axis Finance Limited's attempt to intervene in the Zee-Sony merger application before the Honourable NCLT also proved unsuccessful. The court's recent dismissal of Axis Finance's application seeking impleadment further underscores the challenges the company has faced in its legal pursuits.
The Zee-Sony merger remains a highly anticipated decision, with the National Company Law Tribunal (NCLT) expected to announce its verdict imminently. The merger, involving Culver Max Entertainment (Sony) and Zee Entertainment, has garnered attention from creditors and industry observers. Concerns raised by creditors, including JC Flower Asset Reconstruction Co, IDBI Trusteeship, IDBI Bank, and Imax Corp, have been under consideration by the NCLT. The outcome of the NCLT's ruling is awaited as it holds significant implications for the future of the Zee-Sony merger.
