This is a second motion petition seeking confirmation of the Scheme of Arrangement appended as Annexure-5 to this petition. Earlier the petitioner companies had approached this Court by filing their first motion application which came to be disposed of by an order dated 13th April, 2015. As was recorded in the said order, the meetings of the Equity Shareholders as well as the Preference Shareholders of the Transferor Company had been dispensed with. Since the Transferee Company was a wholly owned subsdiary of the Transferor Company, the meetings in respect of this company were also dispensed with. It was on the above position that the petitioners were permitted to file this petition.

Accordingly and in view of the above, let notices on this petition be published in the Pioneer (in English) and Swantantra Bharat (in Hindi) in their Kanpur Editions on or before 9th May, 2015. The notices to be published shall indicate that this petition shall be listed in Court on 25th May, 2015 and that all objections to the proposed Scheme be filed on or before the said date.

Notices shall also be issued to the Official Liquidator, U.P. and Uttaranchal as well as the Regional Director, Company Affairs, Norther Region, Ministry of Corporate Affairs, PDIL Bhavan, A-14, Sector 1, Noida.
