Heard Sri Piyush Agarwal, learned counsel for the Company.

The petitioner's Company has filed this petition for the sanction of scheme of amalgamation of the two Companies, which has been filed as Annexure-1 to the writ petition. The scheme has been approved by the Board of Directors and Board of Companies. In Company Application No. 10 of 2012, this Court vide order dated 23.8.2012 has dispensed with the requirement of the holding of the meetings of the shareholders of the Transferor and Transferee Companies and further directed to hold the meetings of the creditors of the demerged/Transferor Company for which a direction has been given to make a publication in two newspapers having wide circulation at Mirzapur i.e. "Amar Ujala" in Hindi and "Pioneer" in English. The meeting was held on 22.9.2012 and the same is part of the record of Company Application no. 10 of 2012.

In view of the above, let the notice of this petition be published in two newspapers at Mirzapur i.e. "Amar Ujala" in Hindi and "Pioneer" in English fixing 5.11.2012 as the next date of hearing of the petition.

Notice may also be issued to the Regional Director, Northern Region, Ministry of Corporate Affairs, Central Government Office at PDIL Bhawan A-14. Sector-1, Noida, U.P. requiring him to file affidavit or representation before the date fixed.

Sri Piyush Agarwal, learned counsel for the Company is permitted to serve the Regional Director, Ministry of Corporate Affairs, Central Government personally as well as by registered post. He submitted that the copy of the petition has been given to Official Liquidator on 26.9.2012. The necessary endorsement has been obtained in the petition. The affidavit of service be filed before the date fixed.

List on 5.11.2012 along with the Company Application no. 10 of 2012.
