No. S.O. 106/H.A.10/98/S/23, 24, 25/98. - In exercise of the powers conferred by, section 55 read with sections 23, 24 and 25 of the Haryana Electricity, Reform Act, 1997 (Act 10 of 1998) the Governor of Haryana hereby makes the following transfer scheme rules for the purpose of providing and giving effect to the transfer of undertakings, assets, properties, liabilities, proceedings and personnel of the Haryana State Electricity Board to Haryana Power Generation Corporation Ltd. (Genco) and Transmission Corporation of Haryana Limited (Transco) [registered as Haryana Vidyut Prasaran Nigam Limited], namely :

CHAPTER I

Preliminary

  1. Short title and commencement.- (1) These rules may be called the Haryana Electricity Reform (Transfer of Undertakings, Assets, Liabilities, Proceedings and Personnel) Scheme Rules, 1998.

(2) They shall come into force on the date of their publication in the official Gazette.

  1. Definitions.- In these rules, unless the context otherwise, requires,

(a) "Act" means the Haryana Electricity Reform Act, 1997;

(b) "assets" means, all assets, including dams, dykes, reservoirs, tunnels, intake and outlet structures of water conductor system, generating stations with associated machinery, equipment, transmission and distribution lines with associated substations, distribution centres, cables, wires, accumulators plants, motors, meter testing apparatus, computers, communication and telecommunication equipment, land, building offices, stores, plants, machinery, equipment, installations, furniture, fixtures, vehicles, residential quarters and guest houses and amenities and installations pertaining thereto and other movable and immovable property, cash in hand, cash at bank, investments book debts corporeal or incorporeal, tangible and intangible assets, benefits, licences, consents, authorities, registrations, liberties, patents, trade marks designs, copyrights and other intellectual property rights and all other interests, rights and powers of every kind, nature and description whatsoever,privileges, liberties, easements, advantages, benefits and approvals, contract, deeds, schemes, bonds, agreements and other instruments and interest of whatever nature;

(c) "Board" means the Haryana State Electricity Board constituted under the Electricity (Supply) Act, 1948;

(d) "effective date" means the date on which these rules are published in the official Gazette;

(e) "Genco" means the Haryana Power Generation Corporation Limited incorporated as a generating company under the Companies Act, 1956;

(f) "liabilities" means all liabilities including debts, duties, obligations, payables, statutory liabilities and Government levies of whatever nature and the contingent liabilities which may arise in respect of dealings before the effective date in respect of the specified undertakings and unless the context otherwise admits, will exclude the liabilities relating to the personnel and personnel related matters;

(g) "personnel" mean all employees of the Board including those deputed to other bodies or organisations on the effective date, but excludes personnel on deputation with the Board from other services;

(h) "proceedings" means, all proceedings of whatever nature including suits, appeals, complaints, petitions, applications, conciliatory, arbitration, whether civil or criminal or otherwise;

(i) "Schedule" means the Schedules appended to these rules;

(j) "Transco" means the Transmission Corporation of Haryana registered under the name and style of Haryana Vidyut Prasaran Nigam Limited.;

(k) "Transferee" means Genco or Transco, as the case may be, in whom the relevant Undertakings are vested or to whom the personnel are transferred in terms of these rules; and

(l) Words and expressions used but not defined in these rules shall have the same meaning respectively assigned to them in the Act.

  1. Transfer of Undertakings to State Government.[Sections 23 and 55]. - (1) On the effective date, all the assets, liabilities and proceedings which the Board owns or possesses, shall stand transferred to and vest in the State Government and in consideration thereof all loans, subventions and obligations of the Board to the State Government shall stand extinguished and cancelled.

(2) Nothing in sub-rule (1) shall apply to rights, responsibilities, liabilities and obligations, in respect of the personnel and personnel related matters including statutory dues to personnel such as salary, wages, gratuity, pension, provident fund, remuneration and retirement benefits, in respect whereof others specific provisions have been made in these rules.

  1. Classification of assets, liabilities and proceedings.[Sections 23 and 55]. - (1) The assets, liabilities and proceedings vested in the State Government under rule 3 as on the effective date, shall stand classified into -

(a) Generation Undertakings as specified in Schedule A; and

(b) Transmission and Distribution Undertakings as specified in Schedule B.

(2) If any of the assets classified under sub-rule (1) is subject to any security documents or arrangements in favour of third parties for any financial assistance or obligation taken by the Board and the liability in respect thereof is classified in different Undertakings, the State Government may provide for the appointment of the liability secured by such assets and rights thereto between the different Undertakings and upon such apportionment the security shall be applicable to such apportioned liabilities only.

  1. Transfer of Undertakings by the State.[Sections 23 and 55]. - (1) (a) On the effective date, the Generation Undertakings as specified in Schedule A, but other than those which the State Government shall retain as specified in Schedule AB, shall vest in Genco without any further act or thing to be done by the Board, the State Government or Genco.

(b) The value of the assets and liabilities vested in Genco shall be as specified in Schedule A.

(c) In consideration of the Generation Undertakings vested by the State Government in terms of clauses (a) and (b) above, Genco shall issue to the State Government the shares, as specified in Schedule A.

(2) (a) On the effective date, the Transmission and Distribution Undertakings as specified in Schedule B including all other assets, liabilities and proceedings of the Board other than those vested under sub-rule (1) in Genco and those which the State Government shall retain as specified in Schedule AB, shall vest in Transco, without any further act or thing to be done by the Board, the State Government or Transco.

(b) The value of the assets, liabilities etc. vested in Transco shall be as specified in Schedule B.

(c) In consideration of the Undertakings vested by the State Government in terms of clauses (a) and (b) above, the Transco shall issue to the State Government (the shares as specified in Schedule B.

(3) Upon the transfers and vesting of the Undertaking as specified in these rules the Transferee shall be responsible for all contracts, deeds, schemes, bonds, agreements and other instruments of whatever nature related to the Undertaking transferred to the Transferee, to which the Board was a party, subsisting or having effect on the effective date in the same manner as the Board was liable immediately before the effective date and the same shall be in force and effect against or in favour of the Transferee and may be enforced as fully and effectively as if, instead of the Board, the Transferee was a party thereto.

  1. Transfer of personnel.[Sections 24 and 55]. - (1) All personnel shall be subject to transfer to the Transferee as provided in these rules without any further act or thing to be done by the Board, the State Government, the Transferee or the personnel as the case may be.

(2) Upon such transfer the personnel, who are subject to the transfer, shall not assert or claim any benefit of service under the Board or the State Government except as provided in the Act and in these rules.

(3) The personnel shall stand classified as under

(a) the personnel related to generation 'Undertakings as detailed in Schedule C;

(b) the personnel related to transmission and distribution undertakings as specified in Schedule

(c) common cadre engineers and officers as specified in Schedule E.

Explanation - Common cadre engineers and officers comprise those personnel who are or have been subject to posting in both Generation and Transmission and Distribution undertakings of the Board under the relevant service regulations and whose services in the Board on the effective date were not segregated exclusively either for generation or for transmission and distribution as in the case of personnel specified in Schedules C and D.

(d) The personnel of other common services including head office personnel as specified in Schedule F comprising those rendering services commonly for generation and transmission and distribution undertakings and whose services in the Board as on the effective date are not exclusively related to generation or to transmission and distribution as in the case of personnel specified in Schedules C and D.

(4) The personnel classified in Schedule C shall stand transferred to Genco on as is where is basis, namely, that they will serve in the place where they are posted on the effective date and will become an employee Geneco.

(5) The personnel classified in Schedule D shall stand transferred to Transco on as is where is basis, namely, that they will serve in the place where they are posted on the effective date and will become an employee of Transco.

(6) (a) The personnel classified in Schedules E and F shall be assigned to the services of Genco or Transco or Genco and Transco on as is where is basis, namely, that they will serve in the place where they are posted on the effective date subject to the following :

(i) The assignment shall be on a provisional a basis till they are absorbed in the services of Genco or Transco in accordance with the provisions of these rules;

(ii) Transco shall be the controlling employer in the case of all such personnel specified in Schedules E and F till they are absorbed in the services of Genco or Transco in terms of these rules,

(b) Transco shall, in consultation with Genco and the State Government. finalise the absorption of the personnel specified in Schedules E and F taking into account the suitability, ability and experience of the personnel, the number and nature of the vacancies and other relevant factors and issue appropriate orders within the provisional period provided under rule 9.

(7) Upon the finalisation and issue of orders in terms of above rules, the personal specified in Schedules E and F shall stand absorbed in the services of the Transferee concerned, in the post, scale of pay and seniority in accordance with the order passede.

(8) The personnel specified in Schedules E and F shall form part of a common cadre for the purposes of promotion and other matters concerning their services till the finalisation and issue of the orders for transfer to Genco or Transco in terms of sub-rule (6) above.

(9) The transfer of the personnel to Genco and Transco shall be subject to the orders that may be passed by the courts or tribunals; in any of the proceedings pending on the effective date.

(10) Notwithstanding anything contained herein above, any of the personnel may at his option resign from the service at any time before the expiry of 12 months from the effective date retaining a right to get the proportionate part of the terminal benefits applicable to him in accordance with the service conditions prevailing as on the effective date and Genco or Transco to whose services the personnel is assigned at the time of such resignation shall be liable to pay to such person the terminal benefits proportionate to the period of service rendered by him in the Board till the effective date.

(11) The transfer of personnel shall be subject to the following conditions :-

(a) The terms and conditions of the services applicable to them on the effective date, the pay, pattern of Dearness Allowances, Additional Dearness Allowances, Interim Relief, City Compensatory Allowances, House Rent allowances, Shift Duty allowances, Hardship allowances, medical facility, medical allowances, all other allowances on the projects, field and head office, leave of all kinds (including casual leave), Pension and Death-cum retirement benefit, gratuity and leave encashment of every nature shall not be in any way be less favourable to them than those applicable to them immediately before such date;

(b) The period of the service of the personnel under the Board and under the Transferee shall be treated as continuous for the purpose of all service benefits;

(c) All benefits of the services rendered before the effective date shall be recognised and taken into account while fixing the condition of services under (the Transferee as well as for payment of all terminal benefits.

(12) Subject to the provisions of the Act and these rules, the Transferee may frame regulation governing the conditions of services of personnel transferred to the Transferee, and till the finalisation of service regulations by the Transferee, the service rules and regulations applicable to the personnel immediately before the effective date shall be applicable to the personnel transferred as if the same have been framed by the Transferee.

(13) All proceedings including disciplinary proceedings pending against the personnel prior to the effective date or the proceedings to be instituted against the personnel for misconduct, lapses or other acts of commission or omission committed before the effective date, shall not lapse and shall be proceeded with and decided by Genco or Transco to whose services the personnel are assigned and transferred, consistent with the applicable service rules.

Provided that in the case of all the personnel specified in Schedules E and F, such proceedings shall be proceeded with and decided by Transco till the final orders are issued in terms of sub-rule (7) and thereafter by the concerned Transferee.

(14) (a) Except as otherwise specifically provided in respect of all statutory and other schemes and employment related matters including the provident fund, gratuity fund, superannuation fund or any other special fund created or existing for the benefit of the personnel on the effective date, the Transferee shall stand substituted in place of the Board and all obligations in respect of such schemes and matters with effect from the effective date shall be of the Transferee.

(b) All accumulations in the respective funds including the provident fund, gratuity and superannuation fund and including all Interest and other accruals of the respective personnel transferred to the Transferee on the effective date shall be transferred to the corresponding funds to be established or formed by the transferee.

(c) All obligations in respect of payment of pensiion and other retirement benefits including provident fund, leave encashment, commutation of pension, medical facilities, superannuation and gratuity to the personnel who have retired from the services of the Board on or before the effective date shall be discharged by Transco until such obligations are appropriately assigned to Genco or other concerns.

(d) The personnel who are eligible for pensionary and other superannuation benefits as would be applicable or admissible to them if they had continued in the service under the Board shall be entitled to receive the entire benefits from the Transferee in the following manner unless otherwise specifically provided by the State Government

(i) the services rendered by the personnel for the Board up to the effective date and together with the service to be rendered by them under the Transferees after the effective date shall be taken into account for the purpose of grant of the pensionary and other retirement benefits;

(ii) the pensionary and other benefits shall be sanctioned ana paid by the Transferee;

(iii) the General Provident fund maintained by the Board shall be transferred to the funds to be established by the Transferee.

Note :- In case, any portion of such pension funds of death cum- retirement gratuity fund, provident fund or any other retirement benefits is unfunded, the State Government shall be liable to make appropriate provisions for covering tile unfunded portion of such funds and benefits.

(e) The Transco shall provide Genco the funds required by Genco to meet the obligations to pay to the personnel tile retirement benefits including pension deathcum-retirement gratuity fund, provident fund till Genco is in a position to make appropriate arrangements to meet such obligations. Genco shall be liable to repay the funds, advances and Transco shall be entitled to adjust the funds provided against other amounts becoming due from Transco to Genco.

(15) The personnel transferred to Genco or Transco, as the case may be, shall be deemed to have entered into an agreement with Genco or Transco or their respective nominated authorities, as the case may be, to repay the loans, advances and other sums due or otherwise perform the obligations undertaken by him to the Board which remain outstanding against him on the effective date, as per the original terms and conditions.

(16) Notwithstanding anything contained in these rules all personnel of' the State Government or Central Government working under the Board or assigned for the electricity generation, transmission, distribution and supply related work of the Board shall stand reverted to their respective department in the State or Central Government.

  1. Rights and obligations of third parties restricted.[Sections 23 and 55]. - Upon the transfer being effected in accordance with the Act and these rules, the rights and obligations of all persons shall be restricted to the Transferee to whom they are assigned to and notwithstanding anything to the contrary contained in any deed, documents, instruments agreements or arrangements which such person has with the Board, as the case may be, he shall not claim any right or interest against the Board.
  2. Pending suits and proceedings.[Sections 23 and 55]. - All proceedings of whatever nature by or against the Board or the State Government, as the case may be, pending on the effective date shall not abate or discontinue or otherwise in any way prejudicially be affected by reason of any transfer effected under these rules but the proceedings may be continued, prosecuted and enforced by or against the Transferee to whom the same are assigned in accordance with these rules. Such proceedings may be continued in the same manner and to the same extent as would or might have been continued, prosecuted and enforced by or against the Board if the transfers specified in these rules had not been made.
  3. Classification, Transfers provisional in the first instance.[Sections 23, 25 and 55]. - (1) In exercise of (the powers under section 25 of the Act, the State Government hereby provides that the classification of Undertakings and personnel made under these rules shall be provisional for a period of 12 months from the effective date or till the relevant Undertaking transferred to Genco or Transco, as the case may be, is further transferred in terms of sub- section (5) of section 23 of the Act, whichever is earlier.

(2) So long as the classification is provisional the State Government shall be entitled to amend, vary, modify, add, delete or otherwise change the items classified and identified in an undertaking and the personnel categorised in the Transferee's in such manner as the State Government may consider appropriate.

(3) On the expiry of 12 months or further transfer or transfers as specified in sub-rule (1) the classification and transfers in terms of these rules shall be final and binding and the State Government shall cease to have and shall not exercise the power to make any amendment, variation, modification, addition, deletion or otherwise any changes in terms of sub-section (1) of section 25 of the Act or the provisions of these rules.

(4) Nothing contained in these rules shall entitle the Transferees, the personnel or any other person to dispute the classifications or transfers only on the ground that they are provisional.

(5) Notwithstanding the provisional nature of transfer or personnel to Genco or Transco, the personnel shall discharge the duties and functions as may be assigned to them from time to time by Genco or Transco, as the case may be, and Genco or Transco shall have the power to exercise all administrative and disciplinary control over such of the personnel assigned or transferred to it:

  1. Decision of the State Government final.[Section 55]. - (a) If any doubt, dispute, difference or issue shall arise regard to the transfers under these rules subject to the provisions of the Act, the State Government shall make such inquiries and hold such hearings as it considers appropriate to know the views of the affected parties and thereafter the decision made by the State Government shall be final and binding on all parties.

(b) The State Government shall have the power to remove difficulties arising in implementing the transfers under these rules.

Schedule 'A'

Generation Undertaking

(Haryana Power Generation Corporation Ltd.)

  1. The Generation undertaking shall comprise of all assets liabilities and proceedings concerning the generation functions of the Board as on the effective date consisting of :-
  2. A) Thermal Power Stations

(a) Panipat Thermal Power Station, Assan, Panipat and 220 KV Switch Yard with four generating units of 110 MW each , one unit of 210 MW and one unit of 210 MW (under construction) along with all associated and related equipment including step-up transformers, step down transformers, circuit breakers, control and protection system, overhead cranes gantry cranes, coal handling plant, cooling towers, water treatment plant, power house stores, spare parts, consumable raw materials, work-in-progress etc. related to the above power station.

(b) Faridabad Thermal Power Station, Faridabad and 66 KV Switch Yard with three generating units of 60 MW (derated to 55MW) each along with all associated and related equipment including step-up transformers, step down transformers, circuit breakers, control and protection system, overhead cranes gantry cranes, coal handling plant, cooling towers, water treatment plant, power house stores, spare parts, consumable raw materials, work-inprogress etc. related to the above power station.

  1. B) Hydro Power Station.

WYC HE Project Yamunanagar and 66KV switch yard with Six generating units of 8 MW each along with all associated and related equipment including step-up transformers, step down transformers, circuit breakers, control and protection system, Hydel channels, overhead cranes gantry cranes, tailrace channel and its structures up to Dadupur head works, power house stores, spare parts, consumable raw materials, work-in-progress under stage- II etc. related- to the above power station

  1. C) Office of the Chief Engineer 'Thermal Design presently located at Panchkula.
  2. D) Immovable properties under the control of the above power stations including residential colonies, accommodation and guesthouses etc.
  3. E) Other assets and properties including vehicles, furniture and fixtures, air conditioners etc. to the extent they are related to the generation undertakings and connected business of the Board as on the effective date.
  4. F) Contracts, agreements, interests and arrangements to the extent they are related to the generation undertakings and connected functions of the Board as on the effective date
  5. G) Cash, bank balance, sundry debtors and other current assets to the extent they are related to the generation undertakings and connected functions of the Board as on the effective date.
  6. H) All liabilities to the extent they are related to the generation undertakings and functions.
  7. I) In addition to above any contingent liabilities other than those specified in schedule-AB and to the extent they are related to above liabilities or otherwise to Generation undertaking and functions.
  8. J) All proceedings to the extent they are related to the generation undertakings and functions.
  9. K) Such other assets, liabilities, proceedings or interest within provisionality of this transfer scheme from the effective date as the State Government may vest to or transfer from those assigned under items I- ( A to J ) above.

The values at which assets and liabilities are proposed to be transferred to Genco are placed at Schedule - A-1

  1. Value of assets and liabilities of Board based on un-audited accounts as on 31-3.98 shall be transferred to Genco on the effective date on provisional basis. Results on findings of Audit of accounts of 31.3.98 and other transactions after 31.3.98 to the effective date shall also deem to have been transferred to Genco on the effective date under this transfer scheme.

III. In consideration of the transfer as mentioned above the State Government shall be issued 25000. Equity Shares of face value of Rs. 1000/- each in the Genco.

Schedule - 'B'

Transmission Undertaking

(Haryana Vidyut Prasaran Nigam Ltd.)

  1. The Transmission undertaking shall comprise of all assets, liabilities and proceedings of the Board other than those including in Schedule 'A'. Such assets, liabilities and proceedings forming part of this Schedule shall include but not limited to the following:
  2. A) Transmission Assets :-

All transmission lines with towers/ H.Poles of voltage 66KV, 132KV, 220KV on double circuit/single circuit/single circuit on double circuit towers with Grid Sub-stations of various capacities with all associated and related equipment, including step-down transformers, circuit breakers metering arrangements and other protective device with power-line communication system, allied control rooms, lands, building, roads and other auxiliary assets spread over within and outside the territory of the State including such assets under construction and assets acquired, transferred or rights of which were vested with the Board by transfer, sale, lease or otherwise but excluding such constructions or installations lawfully owned and operated by others.

  1. B) Distribution Assets :-

All 33KV, 11KV, LT (single phase 2 wire to 3 phase 5 wire) lines (with overhead line and underground cables) on different types of supports with various sizes of conductor and step-up/step down transformers, breakers, protective and metering devices and control rooms, testing laboratories, lands, building, roads, diesel, generating sets or other conventional and non-conventional generating units, units, service connections and installations inside consumer's premises, street lighting and signal system owned by or leased to the Board but excluding fittings fixtures and installations owned by private persons or local authorities.

  1. C) Shared utilities :-

(a) Thermal Power Station

One third (33.33%) share in all the fixed assets of Indraparastha Thermal Power Station of Delhi Vidyut Board and 220 KV switch yard with three (unit2, 3 and 4) generating units of 62.5 MW each anlongwith all associated and related equipment including step-up transformers, step down transformers, circuit breakers, control and protection system, overhead cranes-gantry cranes, coal handling plant, cooling towers, water treatment plant, power house stores, spare parts, consumable raw materials, work-in-progress etc. related to the above power station.

(b) Hydro Power Stations:-

(i) 34% Haryana share of Bhakra (Left bank) and 220KV switch yard with five generating units of 108 MW each along with all associated and related equipment including step-up/step down transformers, circuit breakers, control and protection system, hydel channels, overhead cranes gantry cranes, tailrace channel and its structures up to Nangal Dam head works, power house stores, spare parts, consumable raw materials, work-in-progress under stage-II etc. related to the above power station.

(ii) 34% Haryana share of Bhakra (Right bank) and 220KV switch yard with three generating units of 132-MW each and two units of 157 MW each along with all associated and related equipment including step-up/step down transformers, circuit breakers, control and protection system, Hydel channels, overhead cranes-gantry cranes, tailrace channel and its structures up to Nangal Dam head works, power house stores, spare parts, consumable raw materials, work-in-progress under stage-Il etc. related to the above power station.

(iii) 34% Haryana share of Ganguwal HE Project and 220KV switch yard with two generating units of 24 MW each, and one generating of 29.5 MW alongwith all associated and related equipment including step-up transformers, step down transformers, circuit breakers, control and protection system, Hydel channels, overhead cranes gantry cranes, tailrace channel and its structures up to Kotla Power Station head works, power house stores, spare parts, consumable raw materials, work-in-progress under stage-II etc. related to the above power station.

(iv) 34% Haryana share of Kotla HE Project and 132KV switch yard with two generating units of 24 MW each, and one generating of 29.5 MW alongwith all associated and related equipment including step-up/step down transformers, circuit breakers, control and protection system, Hydel channels, overhead cranes gantry cranes, tailrace channel and its structures up to head works, power house stores, spare parts, consumable raw materials, work-in-progress under stage-II etc. related to the above power station.

(v) 32% Haryana share of Dehar HE Project and 400 KV switch yard with Six generating units of 165 MW each alongwith all associated and related equipment including step-up/step down transformers, circuit breakers, control and protection system, Hydel channels, overhead crenes gantry cranes, tailrace chanel and its structures up to head works, power house stores, spare parts, consumable raw materials, work-in-progress under stage-II etc. related to the above power station.

(iv) 16.66% Haryana share of Pong HE Project and 220 KV switch yard with Six generating units of 60 MW each alongwith all associated and related equipment including step-up/step down transformers, circuit breakers, control and protection sytem, Hydel channels, overhead cranes-gantry cranes, tailrace channel and its structures up to head works, power house stores, spare parts, consumable raw materials, work-in-progress under stage-II etc. related to the above power station.

(c) Transmission :-

All transmission lines with towers/11. Poles of voltage 66KV, 132KV, 220 KV and 400 KV on double circuit/single circuit/single circuit on double circuit towers with Grid Sub-stations of various capacities with all assocaited and related equipment, including step-down transformers, circuit breakers metering arrangements and other protective devices with power-line communication system, allied control rooms, lands, buildings, roads and other auxiliary assets spread over within and outside the territory of the State including such assets under construction and assets acquired transferred or rights of which were vested with the Board by transfer, sale, lease or otherwise but excluding such constructions or installations lawfully owned and operated by others.

  1. D) General assets such as special foosl and equipment, material handling equipment, earth movers, bulldozers, concrete mixers, cranes, trailers, heavy and light vehicles, furniture, fixtures, office equipment, air conditioners, refrigerators, computers and signal systems, spares, consumbles, raw materials and civil works installations including roads, building, schools, dispensaries, testing laboratories and equipment, training centers, workshops, works-in-progress, machinery and equipment sent for repairs, scraps and obsolete
  2. E) Other assets and movable properties including plant and machinery, motor car, jeeps, trucks, cranes, trailers and other vehicles, furniture, fixtures. Air conditioners, computers etc. to the extent they are utilized in or operated by or associated, with the assets referred to under Clauses A and B above.
  3. F) Contracts, agreements, interests and arrangements of the Board including Power Purchase and bulk power purchase agreements and others other than those covered by Schedule'A'
  4. G) Cash, bank balance, sundry debtors and other current assets other than those specified in Schedule 'A'.
  5. H) All liabilities other than those specified in schedule 'A'.
  6. I) In addition to above any contingent liabilities other than those specified in schedule-AB and to the extent they are related to above liabilities or otherwise to Transmission and Distribution undertaking and functions.
  7. J) All proceedings to the extent they are related to the Transmission undertaking and functions.
  8. K) Such other assets, liabilities, proceedings or interest with in provisionality of this transfer scheme from the effective date as the State Government may vest to or transfer from those assigned under 1( A to J ) above.

The values at which assets and liabilities are proposed to he transferred to Transco are placed at Schedule B - 1

  1. Value of assets and liabilities of Board based on un-audited accounts as on 31.3.98 shall be transferred to Genco on the effective date on provisional basis- Result on findings of Audit on accounts of 31.3.98. And other transactions after 31.3.98 to the effective date shall also deem to have been transferred to the Transco on the effective date under this transfer scheme.

III. In consideration of the transfer as mentioned above the State Government shall be issued 25000 Equity Shares of face value of Rs. 1000/- each in the Transco.
