No. S.O. 156/H.A. 10/98/Sections 23, 24, 25 and 55/99. - In exercise of the powers conferred by Section 55, read with Sections 23, 24 and 25 of the Haryana Electricity Reform Act, 1997 (Haryana Act 10 of 1998), the Governor of Haryana hereby makes the following rules for the purpose of providing and giving effect to the transfer of distribution undertakings of Haryana Vidyut Prasaran Nigam Ltd. to Distribution Companies i.e. Uttar Haryana Bijli Vitran Nigam Ltd. and Dakshin Haryana Bijli Vitran Nigam Ltd., namely :

  1. Short title and commencement.- (1) These rules may be called the Haryana Electricity Reform (Transfer of Distribution Undertakings from Haryana Vidyut Prasaran Nigam Ltd. to Distribution Companies) Rules, 1999.

(2) They shall come into force on the date of their publication in the Official Gazette.

  1. Definitions.- (1) In these rules, unless the context otherwise requires,-

(a) "Act" means the Haryana Electricity Reform Act, 1997 (Haryana Act 10 of 1998);

(b) "Assets" means movable and immovable, corporeal and incorporeal, tangible and intangible, land, building, offices, stores, plants, machinery, equipment including computer systems and telecommunication systems, installations, furniture, fixtures, vehicles, residential quarters and guest houses and amenities and installations pertaining thereto, and other movable and immovable property, software, books and records, files, manuals, warranties, plans, drawings, designs, specifications, customer lists, billing and payment records, cash in hand, cash at bank, investments, book debts, claims, receivables, deposits, capital work in progress, deferred costs, advances paid, accrued incomes and pre-paid expenses, benefits, licences, permits, consents, authorities, registrations, liberties, patents, trademarks, designs, copyrights and other intellectual property rights, privileges, liberties, easements, advantages, benefits and approvals, contract-deeds, schemes, bonds, guarantees, agreements, insurance, and other instruments and interests of whatsoever nature, and all other interests, rights and powers of every kind, nature and description whatsoever;

(c) "Board" means the Haryana State Electricity Board constituted under the Electricity (Supply) Act, 1948;

[(d) "Common Cadre Personnel" means the personnel who were classified under Schedules E and F of the Haryana Electricity Reform (Transfer of Undertakings, Assets, Liabilities, Proceedings and Personnel Scheme, Rules 1998 (hereinafter called the said Rules) and also include 18 categories of Schedule D of the said rules i.e. :-

(i) JE I/Field

(ii) JE/Field

(iii) AFM

(iv) S.S.A.

(v) JE/Sub Station

(vi) JE/Civil

(vii) Installation Inspector

(viii) Assistant Store Officer

(ix) AFM (Const.)

(x) JE I/Test

(xi) JE Test

(xii) Foreman

(xiii) Commercial Assistant

(xiv) Assistant Accounts

(xv) Lineman

(xvi) L.D.C./Cash

(xvii) Meter Reader; and

(xviii) Cable Jointer;].

(e) "Discom(s)" means, as per the context and usage, both or either of the two companies incorporated under the Companies Act, 1956, to take over the distribution functions and business currently vested in HVPN, being (i) Uttar Haryana Bijli Vitran Nigam Ltd. (herein referred to as "Discom-I") and (ii) Dakshin Haryana Bijli Vitran Nigam Ltd. (herein referred to as "Discom- II");

(f) "Distribution Business" means the business of distribution and supply of electricity in Zones-I and/or II, as the case may be;

(g) "Distribution Undertaking(s)" means,-

(i) with respect to Zone-I, the Distribution Business, and the Assets, Liabilities, Proceedings and Personnel specified in the Schedule "B"

(ii) with respect to Zone-II, the Distribution Business, and the Assets, Liabilities, Proceedings and Personnel specified in the Schedule "C"

(h) "Effective date" means the date on which these rules are published in the Official Gazette;

(i) "First Transfer Scheme" means the Haryana Electricity Reform (Transfer of Undertakings, Assets, Liabilities, Proceedings and Personnel) Scheme Rules, 1998 published in the Haryana Government, Power Department, Notification No. S.O. 106/H.A. 10/98/S/23.24.25/98, dated the August 14, 1998;

(j) "HPGC" means the generation corporation of Haryana registered under the Companies Act, 1956, under the name and style of Haryana Power Generation Corporation Ltd. and having its registered office at Panchkula;

(k) "HVPN" means the transmission corporation of Haryana registered under the Companies Act, 1956, under the name and style of Haryana Vidyut Prasaran Nigam Limited and having its registered office at Panchkula;

(l) "Liabilities" means all liabilities including debts, expenses accrued, advances received, deposits received, duties, obligations, payables, other outgoings, including statutory liabilities and government levies of whatever nature and the contingent liabilities which may arise in respect of dealings before the Effective Date;

(m) "Personnel" means all employees, staff and officers of HVPN by whatever name called, on the Effective Date, including those employed in and/or deputed to other bodies or organisations and those of the Common Cadre Personnel who have been allocated to HVPN;

(n) "Proceedings" means all proceedings of whatever nature, whether civil or criminal or otherwise, including suits, appeals, complaints, petitions, applications, conciliation, arbitration and disciplinary inquiries;

(o) "rules" means these rules;

(p) "Schedule(s)" means Schedules A, B, C and D appended to the Transfer Scheme;

(q) "State Government" means the Government of the State of Haryana,

(r) "Transferee" means Discom-I and/or Discom-II, as the case may be;

(s) "Transferor" means HVPN;

(t) "Transfer Scheme" means the Haryana Electricity Reform (Transfer of Distribution Undertakings from Haryana Vidyut Prasaran Nigam Ltd. to Distribution Companies) Scheme, 1999, as drawn up by HVPN under the directions of and in consultation with the State Government for the transfer of HVPN's Distribution Undertakings to the Discoms and appended hereto as "Appendix I";

(u) "Zones" mean and comprise of Zone-I and Zone-II, being the two contiguous geographical territories in the State of Haryana described in Schedule "A" to these rules.

(2) Words and expressions used in these rules, but not defined herein, shall have the same meaning as assigned to them in the Act.

  1. Implementation of the Transfer Scheme [Sections 23 and 55].- (1) The State Government hereby orders that the Transfer Scheme shall come into force and be effective and be binding upon all persons from the date these rules are published in the Official Gazette.

(2) The Transfer Scheme shall be deemed to be a part of these rules.

  1. Rights and obligations of persons, including third parties, restricted [Sections 23 and 55].- Except to the extent specifically provided for in these rules and/or the Transfer Scheme, upon the transfer of the Distribution Undertakings being effected in accordance with the Act and these rules and the Transfer Scheme, the rights and obligations of all persons in respect of Distribution. Undertakings shall be restricted to be concerned Transferee notwithstanding anything to the contrary contained in any deed, document, instrument, agreement or arrangement which such persons may have entered into with HVPN and/or the Board, and such persons shall not claim any right or interest against HVPN and/or the Board in connection therewith.
  2. Provisionality of the transfer [Sections 23, 25 and 55.- (1) Except as provided in sub-rule (5), below the State Government hereby provides that the transfer of the Distribution Undertakings made under the Transfer Scheme shall be provisional for a period of five months from the Effective date.

(2) To the extent and during the period that the transfer of the Distribution Undertakings is provisional, as stated in sub-rule (1), the State Government may alter, vary, modify, add or otherwise change the term(s) of the Transfer Scheme in such manner as the State Government may consider appropriate.

(3) Upon the expiry of the provisionality period stated in sub-rule (1), the transfer of the Distribution Undertakings shall become final and the State Government shall cease to have and shall not exercise the power to make any alteration, variation, modification, addition or other change in or to any term of the Transfer Scheme.

(4) Neither the Transferees, nor any other person shall, whether based upon any provision of these rules, the Transfer Scheme or otherwise, be entitled to dispute the transfers on the ground that they are provisional.

(5) The State Government hereby provides that the allocation of Personnel between HVPN and the Discoms as well as the transfer of the Personnel under the Transfer Scheme, shall be final :

Provided that the Common Cadre Personnel may make representations, as provided in clause 9 of the Transfer Scheme, in relation to finalisation of absorption of the Common Cadre Personnel :

Provided further that notwithstanding the finality of the allocation and transfer of the Personnel, HVPN, HPGC, Discom-I and Discom-II shall be entitled to give effect to the final decision taken by the Committee on the representations aforesaid, in terms of clause 9 of the Transfer Scheme.

  1. Pending proceedings [Sections 23 and 55].- All Proceedings of whatever nature by or against HVPN, or against the Board which have been assumed by HVPN under the First Transfer Scheme, pending on the Effective Date, shall not abate or discontinue or otherwise in any way be prejudicially affected by reason of any transfer effected under the Transfer Scheme. Subject to what is provided in the Transfer Scheme, such Proceedings may be continued by or against the concerned Transferee, in the same manner and to the same extent as would or might have been continued, prosecuted and/or enforced by or against HVPN had the transfers specified in the Transfer Scheme not been made.

Appendix I

Haryana Electricity Reform (Transfer of Distribution Undertakings from Haryana Vidyut Prasaran Nigam Ltd. to Distribution Companies) Scheme, 1999

Preamble

  1. Haryana Vidyut Prasaran Nigam Ltd. (as more fully described below, "HVPN") is a company incorporated under the Companies Act, 1956, having its registered office at Panchkula.
  2. HVPN was promoted and established by the State Government as envisaged in Section 13 of the Haryana Electricity Reform Act, 1997 (Haryana Act 10 of 1998) (hereinafter referred to as "the Act") with the principal objects of engaging in the business of procurement, transmission and supply of electricity in the State of Haryana.
  3. In terms of sub-sections (1) and (2) of Section 23 and Sections 24 and 25 of the Act and the First Transfer Scheme, the following were transferred from the Board to HVPN:

(a) the transmission and distribution undertakings of the Board as specified in Schedule B to the First Transfer Scheme;

(b) other assets, liabilities and proceedings of the Board excluding those specified in Schedule A to the First Transfer Scheme; and

(c) the personnel of the Board as specified in rule 6 of the First Transfer Scheme.

  1. The State Government, in consultation with HVPN, as a part of the ongoing reform and re-structuring of the electricity industry in the State of Haryana, has directed HVPN to draw this Transfer Scheme which inter-alia, entails the following :-

(a) the electricity distribution functions in the State of Haryana be divided into Zone-I and Zone-II, respectively being the two contiguous geographical territories described in Schedule A hereto;

(b) transfer of the electricity distribution business and undertakings in Zone-I and Zone-II respectively to the distribution companies;

  1. Discom-I and Discom-II were incorporated under the Companies Act, 1956 on March 15, 1999 and they have obtained their respective certificates of commencement of business from the Registrar of Companies dated April 1, 1999.
  2. In furtherance of the transactions specified in preamble paragraph D above,-

(i) Discom-I and Discom-II will apply to the Haryana Electricity Regulatory Commission constituted under sub-section (1) of Section 3 of the Act (hereinafter referred to as "HERC") for grant of distribution and supply licenses under Section 15 of the Act, to enable them to undertake Distribution Business in their respective Zones; and

(ii) HVPN will simultaneously apply for surrender of its Distribution and Retail Supply License.

  1. Pending the grant of the distribution and supply licenses to Discom-I and Discom-II, HERC, by its order dated April, 21, 1999 has, inter alia, granted permission to HVPN to hold its distribution undertaking and to carry on its distribution and retail supply business pertaining to the Zone-I through and in the name of Discom-I and that pertaining to Zone-II through and in the name of Discom-II.

Now this Transfer Scheme Witnesseth as under

  1. Effective date.- The Transfer Scheme shall come into force on the date these rules are published in the Official Gazette.
  2. Definitions.- In this Transfer Scheme, unless the context otherwise requires,-

(a) "Assets" means movable and immovable, corporeal and incorporeal, tangible and intangible, land building, offices, stores, plants, machinery, equipment including computer systems and telecommunication systems, installations, furniture, fixtures, vehicles, residential quarters and guest houses and amenities and installations pertaining thereto, and other movable and immovable property, software, books and records, files, manuals, warranties, plans, drawings, designs, specifications, customer lists, billing and payment records, cash in hand, cash at bank, investments, book debts, claims, receivables, deposits, capital work in progress, deferred costs, advance paid, accrued incomes and pre-paid expenses, benefits, licences, permits, consents, authorities, registrations, liberties, patents, trademarks, designs, copyrights and other intellectual property rights, privileges, liberties, easements, advantages, benefits and approvals, contract-deeds, schemes, bonds, guarantees, agreements, insurance, and other instruments and interests of whatsoever nature, and all other interests, rights and powers of every kind, nature and description whatsoever;

(b) "Board" means the Haryana State Electricity Board constituted under the Electricity (Supply) Act, 1948;

(c) "Committee" means the committee constituted under clause 9 of the Transfer Scheme;

[(d) "Common Cadre Personnel" means the personnel who were classified under Schedules E and F of the Haryana Electricity Reform (Transfer of Undertakings, Assets, Liabilities, Proceedings and Personnel) Scheme Rules, 1998 (hereinafter called the said Rules) and also include 18 categories of Schedule D of the said rules i.e. :-

(i) JE I/Field

(ii) JE/Field

(iii) AFM

(iv) S.S.A.

(v) JE/Sub Station

(vi) JE/Civil

(vii) Installation Inspector

(viii) Assistant Store Officer

(ix) AFM (Const.)

(e) "Discom(s)" means, as per the context and usage, both or either of the two companies incorporated under the Companies Act, 1956, to take over the distribution functions and business currently vested in HVPN, being (i) Uttar Haryana Bijli Vitran Nigam Ltd. (herein referred to as "Discom-I") and (ii) Dakshin Haryana Bijli Vitran Nigam Ltd. (herein referred to as "Discom- II");

(f) "Distribution Business" means the business of distribution and supply of electricity in Zones-I and/or II, as the case may be;

(g) "Distribution System" means any system consisting mainly of cables, service lines and overhead lines, electrical plant and meters having design voltage of 33 KV, 11 KV, LT (single phase 2 wires to 3 phase 3 or 4 wires) lines with overhead lines and underground cables on different types of supports with various sizes of conductors and step up and step down transformers, breakers, protective and metering devices, control rooms, testing laboratories, used exclusively or primarily for the transportation of electricity from a Transmission System or Generating Set or other points to the point of delivery to end users taking any supply of electricity of voltage of 33 KV or under, and includes lands, buildings, roads, diesel generating sets and other conventional and non-conventional generating units, service connections and installations, street lighting and signal systems, any electrical plant and meters which are employed, deployed and/or used in connection with the distribution of electricity, but shall not include any part of the Transmission System;

(h) "Distribution Undertakings" means,-

(i) with respect to Zone-I, the Distribution Business, and the Assets, Liabilities, Proceedings and Personnel specified in Schedule "B";

(ii) with respect to Zone-II, the Distribution Business, and the Assets, Liabilities, Proceedings and Personnel specified in Schedule "C";

(i) "Effective Date" means the date of publication of the Rules in the Official Gazette;

(j) "First Transfer Scheme" means the Haryana Electricity Reform (Transfer of Undertakings, Assets, Liabilities Proceedings and Personnel) Scheme Rules, 1998 published in Haryana Government, Power Department, Notification No. S.O.106/H.A.10/98/S/23.24.25/98 dated the August 14, 1998;

(k) "Generating Set" means any plant or apparatus for the generation of electricity and shall, where appropriate, include a generating station comprising more than one generating unit;

(l) "HPGC" means the generation corporation of Haryana registered under the Companies Act, 1956, under the name and style of Haryana Power Generation Corporation Ltd. and having its registered office at Panchkula;

(m) "HVPN" means the transmission corporation of Haryana registered under the Companies Act, 1956, under the name and style of Haryana Vidyut Prasaran Nigam Limited and having its registered office at Panchkula;

(n) "Liabilities" means all liabilities including debts, expenses accrued, advances received, deposits received, duties, obligations, payables, other outgoings, including statutory liabilities and government levies of whatever nature and the contingent liabilities which may arise in respect of dealings before the Effective Date;

(o) "Personnel" means all employees, staff and officers of HVPN by whatever name called, on the Effective Date, including those employed in and/or deputed to other bodies or organisations, and those of the Common Cadre Personnel who have been allocated to HVPN;

(p) "Proceedings" mean all proceedings of whatever nature, whether civil or criminal or otherwise, including suits, appeals, complaints, petitions, applications, conciliation, arbitration and disciplinary inquiries;

(q) "rules means the rules under which this Transfer Scheme is published in the Official Gazette to give effect to the Transfer Scheme;

(r) "Schedule(s)" means Schedules A, B, C and D appended to the Transfer Scheme;

(s) "State Government" means the Government of the State of Haryana;

(t) "Transferee" means Discom-I and/or Discom-II, as the case may be;

(u) "Transferor" means HVPN;

(v) "Transfer Scheme" means this Haryana Electricity Reform (Transfer of Distribution Undertakings from Haryana Vidyut Prasaran Nigam Ltd. to Distribution Companies) Scheme, 1999, as drawn up by HVPN under the directions of and in consultation with the State Government for the transfer of HVPN's Distribution Undertakings to the Discoms;

(w) "Transmission System" means the system consisting of electric lines having design voltage of 66 KV or higher, which is used for the purpose of the transportation of electricity from one power station to a sub-station or to another power station between sub stations or to or from any external interconnection including 33 KV and 11 KV bays/equipment (up to the interconnection with any Distribution System), any plant and apparatus and meters owned or used in connection with the transmission of electricity and such buildings or part thereof as may be required to accommodate such plant and apparatus and other works and the operating staff thereof;

(x) "Transmission Undertaking" means the entire undertaking of HVPN excluding the Distribution Undertakings of Zone-I and Zone-II;

(y) "Undertaking(s)" means the Distribution Undertakings and/or the Transmission Undertaking as may be relevant to the context;

(z) "Zones" means and comprise of Zone-I and Zone-II, being the two contiguous geographical territories in the State of Haryana described in Schedule "A" to the Transfer Scheme.

(2) Words and expressions used in this Transfer Scheme, but not defined herein, shall have the same meaning as assigned to them in the rules and the Act.

  1. Transfer of Distribution Undertaking to Discom-I [Sections 23 and 55].- (1) On and with effect from the Effective Date, without any further act(s) or thing(s) to be done by the State Government, HVPN, either Discom, the Personnel, their respective debtors or creditors, or any other person, the Distribution Undertaking related to Zone-I shall stand transferred to Discom- I.

(2) In consideration of the transfer of the Distribution Undertakings related to Zone-I by HVPN to Discom-I in terms of the Transfer Scheme, Discom-I shall issue and allot enquiry shares and/or instruments to HVPN as specified in Schedule B.

  1. Transfer of Distribution Undertaking to Discom-II [Sections 23 and 55].- (1) On and with effect from the Effective Date, without any further act(s) or thing(s) to be done by the State Government, HVPN, either Discom, the Personnel, their respective debtors or creditors, or any other person, the Distribution Undertaking related to Zone-II shall stand transferred to Discom-II.

(2) In consideration of the transfer of the Distribution Undertaking of Zone-II by HVPN to Discom-II in terms of the Transfer Scheme, the Discom-II shall issue and allot equity shares and/or instruments to HVPN as specified in Schedule C.

  1. Retention of other Undertakings by HVPN [Sections 23 and 55].- HVPN has not and shall not be deemed to have transferred, and shall continue to hold, all rights and interests in and bear all obligations and liabilities relating to all HVPN Undertakings, including all assets, liabilities, proceedings and personnel (including Personnel listed in Schedule D hereto) comprising same, except the Distribution Undertakings transferred to Discom-I and Discom-II as provided above.
  2. Substitution of HVPN by Discoms [Sections 23 and 55].- Subject to the Act, the rules and the Transfer Scheme, upon the transfer of contracts, deeds, schemes, bonds, agreements and other instruments of whatever nature to the Discoms, the respective Transferee shall replace HVPN in all respects with regard to such Distribution Undertaking.
  3. Apportionment of security [Sections 23 and 55].- If any Asset transferred to a Transferee is subject to any charge ("the Charged Asset") in favour of a third party for any financial assistance or obligation taken by HVPN or the Board ("the Secured Liability"), then the Charged Asset shall continue to be a security in favour of the concerned third party but only to the extent the Secured Liability shall have been transferred to such Transferee.
  4. Conditions applicable to the transfer of Personnel [Sections 24 and 55].- (1) All Personnel shall be transferred on "as is where is basis", unless specified otherwise, to the Discom concerned or shall be retained by HVPN, as provided in the Transfer Scheme without any further act or thing to be done by the State Government, HVPN, the Discom concerned or Personnel, as the case may be. The expression 'transferred on as is where is basis' shall mean that the Personnel so transferred shall serve in the post and/or place where they are posted on the Effective Date and accordingly, will become employees of the concerned Transferee and shall discharge the same duties that they were discharging at the same place till further instructions from such Transferee in terms of the Transfer Scheme.

(2) Upon such transfer, on and from the Effective Date, the Personnel shall cease to be employees of HVPN and they shall not assert or claim any benefit of service under HVPN, the Board or the State Government, as the case may be, except as provided in the Act, the rules and/or the Transfer Scheme.

(3) Currently, there are several Personnel who have been deputed to other organisations such as Bhakra Beas Management Board (hereinafter referred to as "Deputees"). The Deputees shall be dealt with in the manner specified below -

(a) On the Effective Date, the Deputees shall be deemed to be a constituent of the HVPN undertaking and shall accordingly, be employees of HVPN.

(b) No later than 45 days from the Effective Date, the Committee, as defined in clause 9 below, shall determine the parent cadres of each of the Deputees, as one of HPGC, HVPN or one of the Discoms.

(c) Upon determination of the parent cadres by the Committee as aforesaid, the Committee shall notify each of the Deputes of their decision and upon such notification, the Deputees shall stand allocated to either HPGC, HVPN or one of the Discoms in terms of the decision of the Committee. Thereafter, as and when the Deputees are reverted to their parent cadres, they shall return to and be retained by HVPN, or the Discoms, as the case may be, in accordance with the decision of the Committee.

(d) In the event the Deputees or any of them are reverted to their parent cadres at any time before the notification of the decision of the Committee as aforesaid, the concerned Deputee(s) shall revert, in the first instance, to HVPN. Upon the notification of the decision of the Committee as aforesaid, the Deputee(s) shall stand allocated and shall be retained in HVPN or transferred to HPGC or one of the Discoms, as the case may be, in terms of the decision of the Committee.

(4) The action(s) that may be taken by HVPN and/or the State Government under the Transfer Scheme and/or the rules shall not affect any proceedings pending in the courts and/or tribunals as on the Effective Date.

(5) The transfer of Personnel shall be subject to the following conditions :-

(a) The terms and conditions of service applicable to the Personnel on the Effective Date, including the pay, the pattern of dearness allowance, additional dearness allowance, interim relief, city compensatory allowance, house rent allowance, shift duty allowance, hardship allowance, medical facility, medical allowance, all other allowances on the projects, field offices and head office, leave of all kinds (including casual leave), pension and death-cum-retirement benefit, gratuity and leave encashment of every nature, shall not, in any way, be less favourable to them than those applicable to them immediately before the Effective Date.

(b) The Period of the services of the Personnel under the Board, HPGC, HVPN and the Discom concerned as may be applicable, shall be treated as continuous for the purposes of all service benefits.

(c) All benefits of the services of the Personnel accrued for the period prior to the Effective Date for services rendered in the Board, HPGC, HVPN as may be applicable, shall be recognised and taken into account while fixing the conditions of service under the Transferee.

(6) Subject to the provisions of the Act and the Transfer Scheme :

(i) A Transferee may frame regulations governing the conditions of service of Personnel in its service, which may include provisions to improve productivity, operational efficiency, safety, economic use of resources, technology and work processes;

(ii) Till the finalization of service rules and regulations by the Transferee, the service rules and regulations applicable to the Personnel immediately before the Effective Date shall be applicable to the Personnel as if the same have been framed by the Transferee.

(7) All Proceedings including - (i) disciplinary proceedings pending against the Personnel prior to the Effective Date and/or (ii) causes of action upon which Proceedings may be initiated against the Personnel for misconduct, lapses or other acts of commission or omission committed before the Effective Date, shall not lapse and shall be proceeded with and decided by HVPN or the Transferee Discom concerned to whose services the Personnel are transferred, consistent with the applicable services rules and regulations :

Provided that cases in respect of dismissal and/or discharge of employees which are pending before any authority shall continue to be handled by HVPN for a period of upto twelve months from the Effective Date and thereafter, the concerned Transferee Discom to whose services the concerned employees are transferred or would have been transferred in terms of the Transfer Scheme, will take over the responsibility for handling the same. The concerned Transferee(s) shall be solely liable for complying with any orders that may be passed in such cases, including making any payments to such employees as may be specified in such order. It is clarified that HVPN shall continue to be responsible for handling cases and complying with orders that may be passed therein, in respect of employees not transferred to Discoms in terms of the Transfer Scheme.

(8) HVPN's and Transferee's role with respect to employment related Liabilities of the Personnel shall be as under :-

(a) Except as may be specifically provided to the contrary herein, HVPN shall remain liable for all payments and other obligations in respect of all Personnel related Liabilities, whether statutory or under the terms and conditions of service and/or service rules and regulations applicable to the Personnel, including but not limited to provident fund (including contributions of the Personnel and/or where applicable, any employer contribution), pension and other superannuation and/or terminal benefits, accrued for and/or attributable to the entire period of service of the Personnel with HVPN and/or the Board prior to the Effective Date.

(b) The Transferee shall be liable for payments and other obligations in respect of pension and other superannuation and/or terminal benefits, accrued for and/or attributable to the entire period of service of the Personnel with the Transferee commencing from the Effective Date. The Transferee shall deposit in an appropriate provident fund the provident fund contributions of the Personnel for the period commencing from the Effective Date.

(c) All accumulations in the respective funds including the provident fund, gratuity and superannuation fund, including all interest and other accruals with respect to the Personnel transferred to the services of the Transferee in respect of the period of service upon the Effective Date, shall be retained or deposited by HVPN in appropriate funds.

(d) All obligations in respect of payment of pension and other retirement benefits including provident fund, leave encashment, commutation of pension, medical facilities, superannuation and gratuity to the personnel who have retired from the services of HVPN and/or the Board on or prior to the Effective Date, shall be discharged by HVPN and neither Transferee shall have any obligation with respect to such retired personnel.

(9) Subject to the provisions of the Act and the Transfer Scheme, upon transfer of the Distribution Undertakings :

(a) The Personnel shall be employees of the relevant Transferee Discom in terms of the Transfer Scheme and shall be entitled to all the service benefits of such Transferee, from the Effective Date; and

(b) The status of employment of the Personnel prior to the Effective Date, namely whether permanent, temporary, ad-hoc, contractual or otherwise, shall continue and the Personnel shall not be entitled to claim any change in status by reason of the transfer in terms of the Transfer Scheme.

(10) The Personnel transferred to a Discom in terms of the Transfer Scheme, shall be deemed to have entered into an agreement with the concerned Transferee Discom to repay the loans, advances and other sums due or otherwise perform the obligations undertaken by him/her to HVPN which remain outstanding against him/her on the Effective Date, as per the original terms and conditions.

  1. Representations from Personnel [Sections 24 and 55].- (1) Not later than 15 days from the Effective Date, a committee comprising of the Managing Directors of HVPN, HPGC, Discom-I and Discom-II and a representative of the State Government being an officer of a rank not junior than a Joint Secretary, shall be constituted (herein referred to as "the Committee") to receive and consider representations from the Common Cadre Personnel and the Deputees in relation to (i) finalisation of absorption of the Common Cadre Personnel under the First Transfer Scheme and the Second Transfer Scheme; and (ii) the allocation and transfer of the Deputees. The Common Cadre Personnel shall be entitled to make representations to the Committee [upto 30th November, 1999]and the Deputees shall be entitled to make representations to the Committee within 90 days of the notification of the decision of the Committee under clause 8(3)(c) above. The Committee shall consider the representations and within a reasonable period, take a decision thereon and communicate the same to be persons making the representation. The Committee shall record reasons for its decisions.

[(1A) The period of limitation for making representation to the Committee seeking change in assignment of their services from one entity to other in between, HVPN, UHBVN and DHBVN in respect of the incumbent in the cadres of services as mentioned in rule 2(1)(d)(i) to (xviii) above shall be 30 days from the date of publication of these rules in the Official Gazette.].

(2) Based on the decision of the Committee, the Personnel concerned shall be deemed to have been classified as on the Effective Date for all intents and purposes as the Personnel for HPGC, HVPN or the Discoms, as the case may be.

(3) If any such Personnel is dissatisfied with the decision of the Committee, he may, not later than 30 days of the communication by the Committee of its decision under sub-clause (1) above, make a representation to the Secretary to the State Government, Power Department. The Secretary to the State Government, Power Department will receive, consider, take a decision on the representation and communicate the same to the concerned person, within a reasonable time and this decision shall be final and binding on all persons.

(4) It is clarified that the Common Cadre Personnel whose services were assigned and transferred to HPGC, shall also be entitled to make representations to the Committee as above.

[(5) The Secretary to the State Government, Power Department may, within a period of 30 days from the date of publication of this notification in the Official Gazette, receive a representation from any Common Cadre Personnel who had earlier not represented before the Committee under sub-clause (1) of clause 9 for a valid reason, and after considering it take a decision thereon as deemed fit.].

  1. Rights and obligations of persons, including third parties, restricted [Sections 23 and 55].- Except to the extent specifically provided for in the rules and/or the Transfer Scheme, upon the transfer of the Distribution Undertakings being effected in accordance with the Act, the Rules and the Transfer Scheme, the rights and obligations of all persons in respect of Distribution Undertakings shall be restricted to the concerned Transferee notwithstanding anything to the contrary contained in any deed, document, instrument, agreement or arrangement which such persons may have entered into with HVPN and/or the Board, and such persons shall not claim any right or interest against HVPN and/or the Board in connection therewith.
  2. Provisionality of the Transfer [Sections 23 and 55].- (1) Except as provided in sub- clause (5) below, the transfer of the Distribution Undertakings made under the Transfer Scheme shall be provisional for a period of five months from the Effective Date.

(2) To the extent and during the period that transfer of the Distribution Undertakings is provisional, as stated in sub-clause (1) above, the State Government may alter, vary, modify, add or otherwise change the term(s) of the Transfer Scheme in such manner as the State Government may consider appropriate;

(3) Upon the expiry of the provisionality period stated in sub-clause (1) above, the transfer of the Distribution Undertakings shall become final and the State Government shall cease to have and shall not exercise the power to make any alteration, variation, modification, addition or other change in or to any term of the Transfer Scheme.

(4) Neither the Transferees, nor any other person shall whether based upon any provision of the rules, the Transfer Scheme or otherwise, be entitled to dispute the transfers on the ground that they are provisional.

(5) The allocation of Personnel between HVPN and the Discoms as well as the transfer of the Personnel under the Transfer Scheme, shall be final :

Provided that The Common Cadre Personnel may make representations, as provided in clause 9 of the Transfer Scheme, in relation to finalisation of absorption of the Common Cadre Personnel :

Provided further that notwithstanding the finality of the allocation and transfer of the Personnel, HVPN, HPGC, Discom-I and Discom-II shall be entitled to give effect to the final decision taken by the Committee on the representations aforesaid, in terms of clause 9 of the Transfer Scheme.

  1. Pending Proceedings [Sections 23 and 55].- All Proceedings of whatever nature by or against HVPN, or against the Board which have been assumed by HVPN under the First Transfer Scheme, pending on the Effective Date, shall not abate or discontinue or otherwise in any way be prejudicially affected by reason of any transfer effected under the Transfer Scheme. Subject to what it provided in the Transfer Scheme, such Proceedings may be continued by or against the concerned Transferee, in the same manner and to the same extent as would or might have been continued, prosecuted and/or enforced by or against HVPN had the transfers specified in the Transfer Scheme not been made.
  2. Common Assets [Sections 23 and 55].- (1) Any Assets, comprising of land and/or buildings, which are under common ownership and/or common use or occupation of more than one Undertaking ('the Common Assets') shall be allocated and/or where appropriate demarcated between such Undertakings. The allocation/demarcation of the Common Assets shall be made by the State Government on the basis of the recommendations made by the Committee constituted under clause 9(1) hereof. The Committee shall make its recommendations within five months from the Effective Date.

(2) The allocation and/or demarcation shall be such that each owner and/or occupant, as the case may be, is allowed free and unhindered access to and utilisation of the areas or portions allocated to or demarcated for it.

(3) Until the allocation and/or demarcation is made, as above, the Common Assets shall be continued to be occupied or used by the present occupants.

  1. Sharing of Certain Services [Sections 23 and 55].- The respective undertakings transferred to HPGC, HVPN, Discom-I and Discom-II include certain facilities and/or personnel who provide certain services such as Medical Centres, Land Acquisition Services and Legal Services. Some of these services/facilities will be shared by the other entities and/or their respective personnel on the following basis :-

(1) A Medical Centre allocated to any one entity will continue, after the Effective Date, to provide services also to the personnel of the other entities stationed at the location of such Medical Centre. The costs and expenses of operating and maintaining such Medical Centres shall be shared by the respective entities on a pro-rata basis, with effect from the Effective Date.

(2) The office of the Land Acquisition Officer (Ambala), the Legal Remembrancer and the Hindi Section, who have been allocated to HVPN, will be under the administrative control of HVPN and will continue, after the Effective Date, to provide services to the other entities. The costs and expenses of the aforesaid, including the salary of the Legal Remembrancer and his personal staff shall be shared equally between HPGC, HVPN, Discom-I and Discom-II, with effect from the Effective Date.

(3) The Chief Engineer (Arbitration) allocated to and under the administrative control of Discom-II will continue, after the Effective Date, to provide services to other entities. The costs and expenses including salaries of the Chief Engineer (Arbitration) and his personal staff, will be shared equally by HVPN, Discom-I and Discom-II from the Effective Date.

Distribution Undertaking of Zone-I

Part-I

  1. Distribution Undertaking.- All Assets, Liabilities, Proceedings and Personnel pertaining exclusively or primarily to the Distribution Undertaking of Zone-I, including but not limited to the following :-

(a) the Distribution System;

(b) other Assets, including but not limited to, special tools and equipment, material handling equipment earth movers, bulldozers, concrete mixers, cranes, trailers, heavy and light vehicles, furniture and fixtures, office equipment (including computer systems, telecommunication systems and software), air conditioners, refrigerator, spares, consumables, raw materials, lands and civil work installations including roads, buildings, schools, dispensaries, training centres, workshops, work in progress, scrap;

(c) current Assets, including without limitation, cash in hand, cash at bank, short term investments, deposits, advances paid, receivables, accrued incomes, pre-paid expenses and inventories;

(d) all current contracts, agreements, easements, licenses, permits, consents, approvals, arrangements, patents trademarks and other intellectual property rights and interests, books and records, files, plans, drawings, designs, specifications, customer list, billing and payment records, insurance and all interests, rights, claims and rights of action relating to any of the Assets described in paragraph 1, to the extent of and so far as relate exclusively or primarily to Zone-I;

(e) liabilities (other than contingent liabilities) restricted to the extent specified in the balance sheet as on the Effective Date;

(f) contingent liabilities arising in the ordinary course of business pertaining exclusively or primarily to the Distribution Business and Distribution Undertaking of Zone-I including consumer claims, refund of security deposits, claims and all proceedings related thereto whether pending on the Effective Date or initiated after the Effective Date, subject to the potential liability having arisen before the Effective Date;

(g) all Proceedings pertaining exclusively or primarily to the Distribution Business and Distribution Undertakings of Zone-I;

(h) Personnel being transferred from HVPN to Discom-I as specified in Part-III of this Schedule.

  1. Accounting Adjustments.- (1) The opening balance sheet of Discom-I as on the Effective Date shall be prepared as per the books of account of HVPN, as on the Effective Date and shall be subject to the adjustments that may be determined by the State Government, in accordance with the Rules and the Transfer Scheme. The provisional balance sheet of Discom-I in Part-II hereof is based on the audited balance sheet of HVPN as on March 31, 1998 adjusted for realisable value of assets and liabilities.

(2) The adjustments required to prepare the balance sheet of Discom-I as on the Effective Date based on the books of account of HVPN, shall include, but not be limited to :-

(a) Updating the books of accounts, assets and liabilities balances, to account for the operations of HVPN from April 1, 1998 till the Effective Date;

(b) Adjustments arising from the audit of the financial statements of HVPN as on the Effective Date;

(c) Enhancement/reduction of re-structuring adjustments in accordance with the Rules and to implement the objectives of the rules;

(d) To allocate/re-allocate assets and liabilities, including outstanding and/or accrued liabilities, as may be determined by the State Government to implement the objectives of the rules;

(e) Such other adjustments as the State Government may deem necessary to implement the objectives of the rules.

  1. Consideration.- In consideration of the transfer of the Distribution Undertaking to Discom-I in terms of the Rules and the Transfer Scheme, Discom-I shall issue and allot 32,93,000 (Thirty Two Lakhs Ninety Three Thousand) number of equity shares of face value of Rs. 1,000/- (Rupees One Thousand Only) each, at per value, to HVPN.

Distribution Undertaking of Zone-II

Part-I

  1. Distribution Undertaking.- All Assets, Liabilities, Proceedings and Personnel pertaining exclusively or primarily to the Distribution Undertaking of Zone-II including but not limited to the following :-

(a) the Distribution System.

(b) other Assets, including but not limited to, special tools and equipment, material handling equipment earth movers, bulldozers, concrete mixers, cranes, trailers, heavy and light vehicles, furniture and fixtures, office equipment (including computer systems, telecommunication systems and software), air conditioners, refrigerators, spares, consumables, raw materials, lands and civil work installations including roads, buildings, schools, dispensaries, training centres, workshops, work in progress, scrap.

(c) current Assets, including without limitation, cash in hand, cash at bank, short term investments, deposits advances paid, receivables, accrued incomes, pre-paid expenses and inventories.

(d) all current contracts, agreements, easements, licenses, permits, consents, approvals, arrangements, patents trademarks and other intellectual property rights and interests, books and records, files, plans, drawings, designs, specifications, customer list, billing and payment records, insurance and all interests, rights, claims and rights of action relating to any of the Assets described in paragraph 1, to the extent of and so far as relate exclusively or primarily to Zone-II;

(e) liabilities (other than contingent liabilities) restricted to the extent specified in the balance sheet as on the Effective Date.

(f) contingent liabilities arising in the ordinary course of business pertaining exclusively or primarily to the Distribution Business and Distribution Undertaking of Zone-II including consumer claims, refund of security deposits, claims and all proceedings related thereto whether pending on the Effective Date or initiated after the Effective Date, subject to the potential liability having arisen before the Effective Date;

(g) all Proceedings pertaining exclusively or primarily to the Distribution Business and Distribution Undertakings of Zone-II;

(h) Personnel being transferred from HVPN to Discom-II as specified in Part-III of this Schedule.

  1. Accounting Adjustments.- (1) The opening balance sheet of Discom-II as on the Effective Date shall be prepared as per the books of account of HVPN, as on the Effective Date and shall be subject to the adjustments that may be determined by the State Government, in accordance with the Rules and the Transfer Scheme. The provisional balance sheet of Discom-II in Part-II hereof is based on the audited balance sheet of HVPN as on March 31, 1998 adjusted for realisable value of assets and liabilities.

(2) The adjustments required to prepare the balance sheet of Discom-II as on the Effective Date based on the books of account of HVPN, shall include, but not be limited to :-

(a) Updating the books of accounts, assets and liabilities balances, to account for the operations of HVPN from April 1, 1998 till the Effective Date;

(b) Adjustments arising from the audit of the financial statements of HVPN as on the Effective Date;

(c) Enhancement/reduction of re-structuring adjustments in accordance with the Rules and to implement the objectives of the Rules;

(d) To allocate/re-allocate assets and liabilities, including outstanding and/or accrued liabilities, as may be determined by the State Government to implement the objectives of the Rules;

(e) Such other adjustments as the State Government may deem necessary to implement the objectives of the rules.

  1. Consideration.- In consideration of the transfer of the Distribution Undertaking to Discom-II in terms of the Rules and the Transfer Scheme, Discom-II shall issue and allot 25,35,000 (Twenty Five Lakhs Thirty Five Thousand) number of equity shares of face value of Rs. 1,000/- (Rupees One Thousand Only) each, at par value, to HVPN.

  2. The decision of the Committee shall be final and binding.
